Terms of Service

Welcome to Vify Order Printer & PDF Invoice ("App", "we", "us", or "our"). By installing or using our Shopify application, you agree to be bound by these Terms of Service ("Terms"). Please read them carefully before using our App.

These Terms apply to the Vify website https://vify.ai and all applications published by Vify, including the Vify Order Printer & PDF Invoice app.

1. ACCEPTANCE OF TERMS

By installing, accessing, or using our App through the Shopify App Store, you agree to be bound by these Terms. If you do not agree to these Terms, please do not install or use our App.

These Terms constitute a legally binding agreement between you and Vify. We reserve the right to modify these Terms at any time, and your continued use of the App following any changes constitutes acceptance of the modified Terms.

2. DESCRIPTION OF SERVICE

Vify Order Printer & PDF Invoice is a Shopify application that allows merchants to:

• Create professional invoices: Generate branded invoices for orders, refunds, and draft orders
• Generate packing slips: Create packing slips for order fulfillment
• Customize templates: Design and customize invoice and packing slip templates with your branding
• Automate delivery: Automatically email invoices and packing slips to customers
• Batch printing: Print multiple documents at once for efficient order processing
• Multi-format support: Generate documents in PDF format

3. ACCOUNT REGISTRATION AND REQUIREMENTS

To use our App, you must have:

• A valid Shopify store account in good standing
• Compliance with Shopify's Terms of Service
• Authority to bind the store owner to these Terms

You are responsible for:

• Maintaining the security of your Shopify account credentials
• All activities that occur under your Shopify account
• Notifying us immediately of any unauthorized use of your account
• Complying with these Terms and all applicable laws

4. SUBSCRIPTION AND PAYMENT

Free Trial

New users may be eligible for a free trial period. Trial terms and duration will be specified at the time of registration. No payment is required during the trial period.

Paid Plans

After the trial period, you may choose from various subscription plans:

• Free Plan: Basic features with limitations on the number of invoices
• Starter Plan: For small businesses with moderate invoice volume
• Premium Plan: For growing businesses with advanced features and higher limits
• Ultimate Plan: For large businesses with unlimited invoices and priority support

Billing and Charges

• Subscription fees are billed through your Shopify account
• Fees are charged in advance on a recurring basis (monthly or annually)
• You authorize Shopify to charge your designated payment method on our behalf
• Prices are subject to change with 30 days prior notice

Refunds and Cancellations

• You may cancel your subscription at any time through your Shopify admin
• Refunds are handled according to Shopify's billing policies
• Upon cancellation, you will retain access until the end of the current billing period

5. ACCEPTABLE USE POLICY

You agree NOT to use the App to:

• Generate fraudulent or misleading invoices or documents
• Violate any applicable laws or regulations in your jurisdiction
• Infringe on intellectual property rights of others
• Distribute malware, viruses, or harmful code
• Interfere with or disrupt the App's functionality or servers
• Attempt to gain unauthorized access to our systems or other users' data
• Use the App for any illegal or unauthorized purpose
• Resell or redistribute the App or its features without permission

6. INTELLECTUAL PROPERTY RIGHTS

Our Rights

The App, including all features, functionality, design, code, and content, is owned by Vify and is protected by copyright, trademark, and other intellectual property laws. We retain all rights not expressly granted to you in these Terms.

Your Rights

• You retain full ownership of your store data, customer data, and content
• You grant us a limited license to use your data solely to provide the App's services
• Invoice templates you create are your property and can be used for your business purposes

Templates and Branding

• Default invoice templates provided by the App may be customized and used for your business
• Templates cannot be resold or distributed as standalone products
• You may not remove Vify's attribution from free plan templates

7. DATA AND PRIVACY

Your use of the App is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.

By using the App, you consent to our data practices as described in our Privacy Policy, including:

• Collection of store and order data for document generation
• Use of cookies and analytics for app improvement
• Data storage and security measures we implement
• Your rights regarding your personal data

8. TERMINATION

Termination by You

You may terminate your account at any time by uninstalling the App from your Shopify store. Upon uninstallation:

• Your subscription will be cancelled
• We will cease processing new data from your store
• Your stored data may be retained for a reasonable period as required by law

Termination by Us

We reserve the right to suspend or terminate your access to the App if:

• You violate these Terms or any applicable law
• You engage in fraudulent or abusive activities
• Your Shopify account is suspended or terminated
• We discontinue the App or change our business model

Upon termination, your right to use the App will immediately cease.

9. DISCLAIMERS AND WARRANTIES

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Merchantability: The App is suitable for its intended purpose
• Fitness for a particular purpose: The App meets your specific requirements
• Non-infringement: The App does not violate third-party rights
• Accuracy: Documents generated are completely error-free

We do not guarantee that the App will be:

• Uninterrupted or always available
• Secure from all security threats
• Completely error-free or bug-free
• Compatible with all third-party apps or themes

Your use of the App is at your own risk.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIFY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

• Loss of profits, revenue, or business opportunities
• Loss of data, information, or goodwill
• Business interruption or delays
• Costs of procuring substitute services

Our total liability shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so the above limitations may not apply to you.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Vify and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the App
• Your violation of these Terms or any applicable law
• Your violation of any third-party rights (including intellectual property rights)
• Content or documents you generate using the App
• Any dispute between you and your customers

12. GOVERNING LAW AND DISPUTE RESOLUTION

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Vietnam, without regard to its conflict of law provisions.

Dispute Resolution

Any dispute arising under these Terms shall be resolved as follows:

1. Negotiation: We will attempt to resolve the dispute through good-faith negotiation
2. Mediation: If negotiation fails, the dispute will be resolved through binding mediation
3. Court: If mediation fails, the dispute will be resolved in the courts of Vietnam

13. GENERAL PROVISIONS

Entire Agreement

These Terms, together with our Privacy Policy and any additional terms incorporated by reference, constitute the entire agreement between you and Vify regarding the App.

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of future enforcement of that provision or any other provision.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms without restriction in connection with a merger, acquisition, or sale of assets.

Force Majeure

We are not liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, war, strikes, or government regulations.
